Terms of Service

These Terms of Service (the “Terms”) govern your use of OpenReef, a voice phone-call agent that places real phone calls on your behalf (for example, to make a booking, check a price, or handle a customer-service errand). By creating an account or using OpenReef — directly or through an AI agent acting on your behalf — you agree to these Terms. If you do not agree, do not use OpenReef.
OpenReef is a calling and payments platform. When you or your agent ask us to, our server-side voice agent conducts a phone call, and we meter and settle the credits it spends. You are responsible for the calls you request and for what you ask us to say or do on them; we are not a party to your underlying dealings with the people or businesses we call.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use OpenReef. By using the service you represent that you meet these requirements and that the information you provide is accurate.
2. Your account
You are responsible for the activity that occurs under your account and for keeping your credentials and API keys secure. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present a risk to the platform or its users.
3. AI agents acting on your behalf
OpenReef is built to be operated by AI agents on your behalf. If you authorize an agent — for example via OAuth or an API key — you are responsible for the actions it takes through your account, including the calls it places and the instructions it gives on them. Calls placed by an authorized agent are binding on you, and spend your credits, to the same extent as if you placed them yourself. You can revoke an agent's access at any time, but revocation does not undo calls already placed.
4. Credits and billing
OpenReef is billed in call credits, which you buy through Stripe on theopenreef.com:
Placing a call spends credits from your balance. A credit is consumed the moment the call is placed — not only when it connects — so a call that rings out or goes to voicemail still spends the credit.
Prices and the credit cost of a call are shown before you buy. Credits have no cash value and are not transferable between accounts.
If a call fails to be placed at all due to an error on our side, the credit is not charged (or is returned). Beyond that, credit purchases and calls placed are generally non-refundable except where required by law or expressly stated by us.
Free or promotional credits (for example a signup bonus) may be granted at our discretion and may expire or be withdrawn.
Refund timing depends on your payment provider. We meter credit usage in good faith and will look into billing discrepancies you report, but we do not guarantee any particular outcome for a call.
5. The calls we place and disclaimers
OpenReef places calls based on the task and details you or your agent provide, and its voice agent decides what to say turn by turn. We do not control and are not responsible for the outcome of a call, what the person who answers says or agrees to, or any arrangement you reach through a call. A call may reach the wrong party, be misunderstood, hit an automated system, or fail to achieve your goal. To the extent permitted by law, the service is provided “as is” and “as available,” with no warranty that any call will meet your expectations. You are responsible for reviewing a call's outcome before relying on it, and any dealing that results from a call is between you and the other party.
6. Acceptable use
You agree not to use OpenReef to:
Place calls that are illegal, fraudulent, deceptive, harassing, or harmful, including unlawful telemarketing, robocalling, or spam.
Call anyone who has not consented to be called where consent is required, or otherwise use the service in violation of telemarketing, do-not-call, call-recording, or privacy laws that apply to you.
Impersonate another person or entity, or instruct our voice agent to misrepresent who is calling or on whose behalf.
Abuse, harass, or mislead the people we call, other users, or OpenReef staff.
Interfere with, probe, or disrupt the service, its security, or its infrastructure, or access it through unauthorized means.
7. Fees
Credit prices and any applicable service fees are shown before you confirm payment. Payment processing is handled by Stripe and is subject to Stripe's terms. We may change our prices and fees prospectively; changes do not affect credits already purchased.
8. Limitation of liability
To the maximum extent permitted by law, OpenReef and its affiliates, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the service or the outcome of any call. Our total liability for any claim relating to a call is limited to the amount you paid for the credits that call spent. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
9. Indemnity
You agree to indemnify and hold OpenReef harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.
10. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and any dispute relating to these Terms or your use of OpenReef will be subject to the state and federal courts located in Delaware, unless applicable law requires otherwise.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of OpenReef after an update means you accept the revised Terms.
